These Terms of Service ("Terms") govern your access to and use of the YouEtal website at youetal.ai and the YouEtal platform (the "Service"), operated by Integrail Corp, a company located at Greenwich, CT 06830 ("Integrail", "we", "us", or "our"). YouEtal is a brand of Integrail Corp. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing the Service, you confirm that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

YouEtal is an AI-powered workforce platform that provides AI Workers (autonomous agents) to handle business functions including marketing, sales, HR, finance, procurement, and operations. The Service includes a Chief of Staff AI that coordinates specialized Workers on your behalf, all operating on a unified database.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access to your account.

4. Your Data

4.1 Ownership

You retain all rights, title, and interest in the data you provide to the Service ("Your Data"). We do not claim ownership of Your Data.

4.2 License

You grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing the Service to you. This includes sending portions of Your Data to AI model providers to process AI Worker tasks.

4.3 Responsibility

You are responsible for the accuracy, legality, and appropriateness of Your Data. You must not upload data that violates any laws or third-party rights.

5. AI Workers and Output

5.1 Nature of AI Output

AI Workers generate output using large language models and other AI technologies. While we strive for accuracy, AI-generated output may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all AI Worker output before relying on it for business decisions.

5.2 No Professional Advice

AI Worker output does not constitute professional legal, financial, medical, or other specialized advice. Always consult qualified professionals for important decisions.

5.3 Human Oversight

You agree to maintain appropriate human oversight of AI Worker activities, especially for tasks involving external communications (emails, phone calls), financial transactions, and sensitive business decisions.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations.
• Send spam, unsolicited communications, or engage in abusive outreach.
• Infringe on intellectual property or privacy rights of others.
• Transmit malware, viruses, or harmful code.
• Attempt to gain unauthorized access to the Service or other users' data.
• Use the Service for any illegal, fraudulent, or deceptive purposes.
• Reverse-engineer, decompile, or disassemble any part of the Service.

7. Fees and Payment

Pricing and payment terms will be published when the Service launches. We reserve the right to change pricing with reasonable notice. During the early-access period, specific terms will be communicated to participants directly.

8. Intellectual Property

The Service, including its design, software, AI models, branding, and documentation, is owned by Integrail Corp and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

9. Third-Party Services

The Service may integrate with or connect to third-party services (e.g., email providers, AI model providers, analytics). We are not responsible for the practices or content of third-party services. Your use of such services is subject to their own terms and policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTEGRAIL CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Integrail Corp from any claims, losses, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

• You may terminate your account at any time by contacting us.
• We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice.
• Upon termination, you may request export of Your Data within 30 days. After that period, we may delete Your Data.

14. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or in a court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
